Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Gus platform, website, and related services (collectively, the "Services") provided by Gus, Inc. ("Gus," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or the company you represent. By using the Services, you represent and warrant that you meet these requirements.

To access certain features, you may be required to register for an account. You agree to provide accurate, current, and complete information and to keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4. Subscription and Payment

Access to the Gus platform is provided on a subscription basis. Subscription fees are billed in advance on a monthly or annual basis, as selected at sign-up. All fees are non-refundable except as expressly stated in these Terms or required by applicable law. Gus reserves the right to change pricing with 30 days' written notice.

5. Intellectual Property

All content, features, and functionality of the Services — including but not limited to software, text, graphics, logos, and AI models — are owned by Gus, Inc. and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your internal business purposes during your subscription term.

6. Your Data

You retain ownership of all hotel data, guest data, and content you submit to the Services ("Customer Data"). You grant Gus a limited license to use Customer Data solely to provide and improve the Services. Gus will handle Customer Data in accordance with our Privacy Policy. You are responsible for ensuring you have the rights to submit any data to the Services.

7. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services, and to use such information only for the purposes of these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GUS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF GUS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL GUS'S TOTAL LIABILITY EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Gus, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Termination

Either party may terminate a subscription by providing written notice before the next billing period. Gus may suspend or terminate your access immediately if you breach these Terms. Upon termination, your license to use the Services ends and you must cease all use. Customer Data will be available for export for 30 days following termination.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Services at least 14 days before they take effect. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
